1 Introduction & Scope

Welcome to Neural Calm.

Welcome to Neural Calm ("Neural Calm," "Company," "we," "us," or "our"). This combined policy document governs your access to and use of our website, mobile applications, and services, and your purchase and use of our products, which include:

  • Neural Calm Supplements — dietary supplements formulated to support relaxation, focus, sleep quality, and general wellness.
  • Neural Calm HealthBand — a wearable wellness device and companion app that tracks metrics such as heart rate, heart rate variability (HRV), sleep patterns, stress indicators, and activity levels.
  • Neural Calm Coaching — wellness coaching services in which certified coaches provide lifestyle, stress-management, sleep-hygiene, and habit-building guidance (collectively with the above, the “Services”).

By creating an account, placing an order, wearing the HealthBand, booking a coaching session, or otherwise using the Services, you agree to be bound by this document, including the Terms and Conditions, Privacy Policy, Data Policy, Shipping Policy, Medical Disclaimer, and all other sections contained herein. If you do not agree, please do not use the Services.

1.1 Definitions

  • “User,” “you,” “your” — any individual who accesses the Services or purchases our products.
  • “Health Data” — biometric and wellness information collected by the HealthBand or entered by you into our apps, including heart rate, HRV, sleep data, stress scores, and self-reported wellness information.
  • “Coach” — an independent or employed wellness coach engaged through Neural Calm Coaching. Coaches are not physicians, psychologists, dietitians, or other licensed healthcare providers unless expressly stated in their individual profile.
  • “Content” — all text, graphics, data, software, insights, reports, and materials made available through the Services.

1.2 Eligibility

The Services are intended for individuals who are at least 18 years of age. By using the Services, you represent that you are 18 or older and legally capable of entering into a binding contract. The Services are not directed at children, and we do not knowingly collect data from anyone under 18.

2 Terms & Conditions of Use

Your agreement with us.

2.1 Account Registration

To use certain features (HealthBand syncing, coaching bookings, subscription management), you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [SUPPORT EMAIL] of any unauthorized use.

2.2 Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  • Resell, redistribute, or commercially exploit the Services or Content without our written consent;
  • Reverse-engineer, decompile, tamper with, or attempt to extract the source code of the HealthBand firmware or our applications;
  • Interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to any systems or data;
  • Impersonate any person, misrepresent your affiliation, or submit false health information intended to abuse coaching or refund programs;
  • Use the HealthBand or its data for clinical, diagnostic, employment-screening, insurance-underwriting, or law-enforcement purposes.

2.3 Orders, Pricing & Payment

All orders are subject to acceptance and availability. Prices are displayed in [CURRENCY] and may change without notice; the price applicable to your order is the price displayed at checkout. We may refuse or cancel any order, including for suspected fraud, pricing errors, or stock unavailability, in which case any amount charged will be refunded. Subscription products (supplement auto-refills, HealthBand premium features, coaching plans) renew automatically at the stated interval until cancelled; you may cancel at any time through your account settings, effective at the end of the current billing cycle.

2.4 Intellectual Property

All Content, trademarks, product designs, algorithms, and software associated with the Services are owned by or licensed to Neural Calm and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes. You retain ownership of the Health Data you generate, subject to the licenses described in the Data Policy (Section 6).

2.5 Warranty & Limitation of Liability

The HealthBand carries a [12/24]-month limited hardware warranty against manufacturing defects, subject to the warranty terms provided with the device.

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL CALM AND ITS OFFICERS, EMPLOYEES, COACHES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR HEALTH OUTCOMES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEURAL CALM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) [AMOUNT].

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

2.6 Indemnification

You agree to indemnify and hold harmless Neural Calm from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of these terms, or violation of any law or third-party right.

2.7 Termination

We may suspend or terminate your account for breach of these terms, suspected fraud, or misuse of the Services. You may close your account at any time via account settings or by contacting [SUPPORT EMAIL]. Sections that by their nature should survive termination (disclaimers, limitations of liability, indemnification, dispute resolution) will survive.

2.8 Governing Law & Dispute Resolution

These terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law principles. Any dispute shall be resolved by [binding arbitration in / the courts of] [VENUE], except that either party may seek injunctive relief in a court of competent jurisdiction. 3 Medical Disclaimer

Wellness support, not medical care.

3.1 General

NEURAL CALM DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

All products, data, insights, coaching guidance, and Content provided through the Services are for general wellness and informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or another qualified health provider with any questions you may have regarding a medical condition, and before beginning any new supplement, exercise, sleep, or stress-management program. Never disregard professional medical advice, or delay seeking it, because of something you have read, seen, or been told through the Services.

If you think you may have a medical emergency, call your doctor or local emergency services immediately. The Services are not designed to detect, monitor, or alert you to medical emergencies or conditions.

3.2 Supplements Disclaimer

Statements regarding Neural Calm dietary supplements have not been evaluated by the U.S. Food and Drug Administration (or the equivalent regulatory authority in your country, such as the FSSAI in India or the EFSA in the European Union). These products are not intended to diagnose, treat, cure, or prevent any disease.

Before using any Neural Calm supplement, consult a qualified healthcare professional, particularly if you: are pregnant, nursing, or trying to conceive; are under 18 or over 65; take prescription or over-the-counter medications (supplement ingredients may interact with medications, including sedatives, antidepressants, blood thinners, and blood-pressure medications); have a diagnosed medical or psychiatric condition; or are scheduled for surgery. Do not exceed the recommended serving size. Discontinue use and consult a healthcare professional if you experience any adverse reaction. Keep out of reach of children. Individual results vary, and no specific outcome is guaranteed.

3.3 HealthBand Device Disclaimer

The Neural Calm HealthBand is a general wellness device, not a medical device. It has not been cleared or approved by the FDA or any other medical device regulator for the diagnosis, treatment, or monitoring of any disease or medical condition. Measurements such as heart rate, HRV, sleep stages, and stress scores are estimates generated by consumer-grade sensors and algorithms; their accuracy can be affected by fit, skin tone, tattoos, movement, temperature, and other factors. HealthBand data must not be used to make medical decisions, adjust medication, or replace clinically validated monitoring equipment. If the HealthBand shows readings that concern you, or if you experience symptoms such as chest pain, palpitations, dizziness, or breathing difficulty, seek medical attention regardless of what the device displays.

3.4 Coaching Disclaimer

Neural Calm Coaches provide educational wellness guidance on topics such as stress management, sleep hygiene, routine building, and healthy habits. Coaches are not licensed physicians, psychologists, psychiatrists, therapists, or registered dietitians (unless expressly stated in an individual coach's credentials), and coaching is not therapy, counseling, medical nutrition therapy, or medical care. Coaches will not diagnose conditions, prescribe or recommend changes to medication, or treat mental-health disorders. If a Coach becomes aware that your needs fall outside the scope of wellness coaching, they will encourage you to consult an appropriate licensed professional. Coaching outcomes depend on many individual factors, and no specific result is promised or implied.

3.5 Mental Health & Crisis Resources

The Services address stress and relaxation but are not a crisis service and are not appropriate for managing severe anxiety, depression, or thoughts of self-harm. If you are in distress or crisis, please contact a licensed mental-health professional or your local emergency number or crisis helpline immediately.

4 Shipping Policy

Getting your order to you.

4.1 Processing Times

Orders are typically processed within [1–2] business days (Monday–Friday, excluding public holidays). Orders placed after [CUT-OFF TIME] or on weekends/holidays begin processing the next business day. During promotional periods or product launches, processing may take up to [X] additional business days.

4.2 Shipping Methods, Regions & Estimated Delivery

Delivery estimates begin from the date of dispatch, not the order date, and are estimates only, not guarantees. A tracking number is emailed once your order ships.

4.3 Customs, Duties & International Restrictions

International orders may be subject to import duties, taxes, and customs fees levied by the destination country; these charges are the recipient's responsibility unless stated otherwise at checkout. Dietary supplement regulations vary by country — it is your responsibility to confirm that the ingredients in your order may be lawfully imported into your country. Orders refused or destroyed by customs due to local restrictions are not eligible for shipping-fee refunds.

4.4 Incorrect Addresses, Lost & Damaged Shipments

Please verify your shipping address at checkout; we are not responsible for orders shipped to an incorrectly entered address. If a package is returned to us as undeliverable, we will contact you to arrange reshipment (reshipping fees may apply). If your order arrives damaged or items are missing, contact [SUPPORT EMAIL] within [7] days of delivery with photos of the packaging and product, and we will arrange a replacement or refund. If tracking shows no movement for [10] business days (domestic) or [20] business days (international), contact us and we will open a carrier investigation.

4.5 Returns & Refunds Summary

Unopened supplements may be returned within [30] days of delivery for a refund of the purchase price (return shipping paid by the customer unless the return is due to our error). For hygiene and safety reasons, opened supplements are only eligible for refund under our [satisfaction-guarantee terms, if offered — INSERT]. The HealthBand may be returned within [30] days in original condition with all accessories; a restocking fee of [X%] may apply to opened devices. 5 Privacy Policy

How we handle your information.

5.1 Information We Collect

  • Account & Order Information: name, email, phone number, shipping and billing address, and payment details (processed by our PCI-DSS-compliant payment processors — we do not store full card numbers).
  • Health & Wellness Data: HealthBand sensor data (heart rate, HRV, sleep, activity, skin temperature, stress estimates), data you enter manually (mood logs, supplement intake, goals), and information you share with your Coach.
  • Device & Usage Data: device identifiers, app version, IP address, operating system, crash logs, and interaction analytics.
  • Communications: support tickets, coaching session notes, and — only with your explicit prior consent — recordings or transcripts of coaching calls.

5.2 How We Use Your Information

  • To provide, personalize, and improve the Services, including generating wellness insights from your HealthBand data;
  • To fulfill and ship orders, process payments, and manage subscriptions;
  • To enable coaching, including sharing relevant wellness data with your assigned Coach where you have enabled that sharing;
  • To communicate with you about orders, service updates, and — with your consent where required — marketing;
  • To detect fraud, enforce our terms, and comply with legal obligations;
  • To conduct research and improve our algorithms using de-identified or aggregated data that cannot reasonably be used to identify you.

5.3 What We Do NOT Do With Health Data

We do not sell your Health Data. We do not share identifiable Health Data with advertisers, data brokers, employers, or insurance companies. We do not use the content of your coaching conversations for advertising.

5.4 When We Share Information

  • Service Providers: cloud hosting, payment processing, shipping carriers, analytics, and customer-support vendors, bound by contractual confidentiality and data-protection obligations.
  • Your Coach: the specific wellness data you choose to share through the coaching dashboard.
  • Legal Requirements: when required by law, subpoena, or court order, or to protect the rights, safety, or property of Neural Calm, our users, or the public.
  • Business Transfers: in a merger, acquisition, or asset sale, your data may transfer subject to this policy; we will notify you of any change in control.
  • With Your Direction: if you connect third-party apps (e.g., Apple Health, Google Fit) or ask us to export data to your healthcare provider.

5.5 Your Privacy Rights

Depending on your jurisdiction (e.g., GDPR in the EU/UK, CCPA/CPRA in California, DPDP Act in India), you may have the right to access, correct, download (data portability), or delete your personal data; to object to or restrict certain processing; to withdraw consent; and to lodge a complaint with a supervisory authority. You can exercise most rights directly in the app (Settings → Privacy) or by contacting [PRIVACY EMAIL]. We respond to verified requests within the timeframe required by applicable law. We do not discriminate against users who exercise their privacy rights.

5.6 Cookies & Tracking

Our website uses cookies and similar technologies for essential site functions, analytics, and — where permitted — marketing. You can manage preferences via our cookie banner or your browser settings. See our separate Cookie Notice at [URL] for details.

5.7 International Transfers

Your data may be processed in countries other than your own, including [COUNTRY/IES]. Where required, we use appropriate safeguards such as Standard Contractual Clauses or equivalent mechanisms to protect transferred data.

6 Data Policy

Your health data, handled with care.

6.1 Ownership & License

You own your Health Data. By using the Services, you grant Neural Calm a limited license to store, process, and analyze your Health Data solely to operate and improve the Services as described in this document. This license ends when your data is deleted, except for de-identified or aggregated data that can no longer be linked to you.

6.2 Security Measures

  • Encryption of Health Data in transit (TLS 1.2+) and at rest (AES-256);
  • Role-based access controls — Coaches and staff can access only the minimum data needed for their function;
  • Multi-factor authentication available on all accounts and required for staff systems;
  • Regular security assessments, penetration testing, and vendor security reviews;
  • Logging and monitoring of access to Health Data;
  • A documented incident-response plan. In the event of a data breach affecting your personal data, we will notify you and the relevant authorities as required by applicable law.

6.3 Data Retention

  • Account & Health Data: retained while your account is active. Upon account deletion, identifiable Health Data is deleted or de-identified within [30–90] days, except where longer retention is legally required.
  • Order & Tax Records: retained for [7] years or as required by law.
  • Coaching Notes: retained for [X] years after your last session, then deleted.
  • Backups: encrypted backups are purged on a rolling [X]-day cycle after deletion.

6.4 Your Data Controls

From the app you can: export your Health Data in a portable format; disconnect third-party integrations; revoke your Coach's data access at any time; pause HealthBand syncing; and delete individual data entries or your entire account. Deleting the app does not delete your account — use the in-app deletion tool or contact [PRIVACY EMAIL].

6.5 De-Identified & Research Data

We may use de-identified, aggregated data (e.g., “average sleep improvement across users”) for product research, published insights, and algorithm training. This data cannot reasonably be re-identified, and we contractually prohibit partners from attempting re-identification. You may opt out of research uses in Settings → Privacy where required by applicable law.

7 HIPAA Statement

Where HIPAA fits in.

7.1 Applicability

The U.S. Health Insurance Portability and Accountability Act (HIPAA) applies to “covered entities” (health plans, healthcare clearinghouses, and healthcare providers who conduct standard electronic transactions) and their “business associates.” As a direct-to-consumer wellness company, Neural Calm is generally not a HIPAA-covered entity, and data you provide directly to us as a consumer is generally not “protected health information” (PHI) under HIPAA. Instead, it is protected by this document, the FTC Health Breach Notification Rule, and applicable state, national, and international privacy laws.

7.2 HIPAA-Aligned Safeguards

Although HIPAA may not directly apply to most of our consumer relationships, we voluntarily align our handling of Health Data with HIPAA-grade safeguards, including the administrative, technical, and physical controls described in Section 6.2, workforce privacy training, minimum-necessary access, and formal breach-notification procedures.

7.3 When HIPAA Does Apply

If Neural Calm partners with a HIPAA-covered entity (for example, an employer health plan, hospital, or clinical program that offers the HealthBand or coaching to its members), and we receive PHI on that entity's behalf, we will act as a business associate, execute a Business Associate Agreement (BAA), and handle that PHI in full compliance with the HIPAA Privacy, Security, and Breach Notification Rules. Enterprise and clinical partners may request our BAA and security documentation at [COMPLIANCE EMAIL].

7.4 Sharing With Your Providers

If you choose to export or share your HealthBand data or coaching summaries with your own physician or therapist, that disclosure is made at your direction. Once received by your provider, the information may become PHI protected under HIPAA within that provider's systems.
